Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the OmniTrax platform (“Service”) operated by OmniTrax (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Service” means the OmniTrax cloud-based business management platform, including all features, modules, and associated websites.
  • “User” means any individual or business that accesses or uses the Service.
  • “Account” means the registered account used to access the Service.
  • “Your Data” means any data, content, or information you upload, enter, or generate within the Service.

2. Eligibility

You must be at least 18 years of age and have legal authority to enter into a binding agreement on behalf of yourself or your business. The Service is intended for use by Australian businesses and is governed by Australian law.

3. Account registration

To access the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Notify us immediately at admin@omnitrax.com.au if you suspect unauthorised access.

4. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to our systems or another user's account
  • Resell or sublicense access to the Service without our prior written consent
  • Use the Service in any way that could damage, disable, or impair its operation
  • Engage in any fraudulent, deceptive, or misleading conduct

5. Your data

You retain ownership of all Your Data. By using the Service, you grant us a limited, non-exclusive licence to store, process, and display Your Data solely to provide the Service to you.

You are responsible for ensuring Your Data is accurate and that you have the right to upload it. We are not responsible for any errors, losses, or consequences arising from inaccurate or incomplete data.

We will not access Your Data except as necessary to provide the Service, comply with legal obligations, or as described in our Privacy Policy.

6. Intellectual property

All intellectual property in the Service — including software, design, trademarks, and content — is owned by or licensed to OmniTrax. These Terms do not grant you any rights in our intellectual property beyond the limited licence to use the Service as described herein.

You must not copy, reproduce, modify, reverse engineer, or create derivative works from any part of the Service without our prior written consent.

7. Third-party integrations

The Service may integrate with third-party services including Google Firebase, Basiq (open banking), Gmail, and Anthropic (AI features). OmniTrax is ATO accredited software and lodges STP data directly with the Australian Taxation Office. Your use of those integrations is also subject to the respective third-party's terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Subscription and payment

Pricing and subscription terms will be communicated to you before you commit to a paid plan. All fees are quoted in Australian dollars (AUD) and are inclusive of GST unless stated otherwise. Payment terms will be set out in your subscription agreement or invoice.

We reserve the right to change our pricing at any time. We will give you reasonable notice of any price changes before they take effect.

9. Suspension and termination

We may suspend or terminate your Account if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. We will endeavour to give you reasonable notice before termination unless immediate action is required to protect the Service or other users.

You may cancel your Account at any time by contacting us at admin@omnitrax.com.au. On cancellation, you will retain access to the Service until the end of your current billing period.

Upon termination, we will retain Your Data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our data retention policy.

10. Availability and uptime

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or events outside our control may affect availability. We will endeavour to provide advance notice of planned maintenance where possible.

11. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the extent permitted by Australian Consumer Law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

12. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any loss or damage arising out of or in connection with the Service shall not exceed the total fees you paid to us in the three (3) months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless OmniTrax and its officers, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party right.

14. Governing law

These Terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by updating the “Last updated” date at the top of this page and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
